Terms and Conditions

YOUR LICENSE

1.1

Subject to your payment of the initial and annual renewal license fees, and for an additional fee for training materials, RightPath Resources grants you a nonexclusive, nontransferable limited license to use the Product (Software, Identification and Password Codes for access to the Right Path Web Site, Documentation, and related training materials. Training materials include all PowerPoint slides with any accompanying notes, exercises, handouts, handbooks, and all manuals) in accordance with the terms of this License. You assume sole responsibility for selecting this Product to achieve your intended results, and for the installation, use, and results obtained from the Product. This License is not a sale of the Product or any copies thereof. The Product is a proprietary product and trade secret of RightPath Resources, protected by trade secret laws, United States copyright law, and International copyright treaties and conventions. RightPath Resources shall at all times retain title to the Product and any copy, modification, or derivative work of the Product.

1.2 You may:

Use the Product if you contract for RightPath Resources’ annual license renewal. You must contract for annual license renewal for all RightPath Resource products you use; otherwise you are not entitled to use the Product;
Use the Product either via the Web Site or only on a single computer, processor, or network server, and only for the specified number of paid-for assessments;
Use the Identification and Password Codes issued to You solely to access the RightPath Resources web site and to use the services offered at such web site as contemplated by such web site;
Use the Product and the Right Path website for your internal in-house commercial use only by you and your employees, but no others, except by your own customers under the same confidentiality and other applicable restrictions as set forth herein;
Use, deliver, operate, or show a demonstration or evaluation copy of the Product to or for any third party in confidence and solely to generate income. You accept the security lock RightPath Resources has programmed into the Product to prevent any unauthorized use or copying thereof;
Receive Product error correction and new updates;
Purchase licenses for additional products and/or assessments from RightPath Resources from time to time. Notwithstanding the content of any Reseller’s purchase order, this Agreement shall take precedence over any purchase order, and any inconsistent, conflicting, or additional terms of any such purchase order shall be null and void.

1.3 You may not, and you shall not allow any other party to:

Use or copy the Product except as specifically permitted in this License;
Translate, reproduce, disassemble, reverse engineer, adapt, modify, or create derivative works of the Product, including all training materials in any media format. Training materials include all PowerPoint slides with any accompanying notes, exercises, handouts, handbooks, and all manuals;
Disclose, publish, sell, rent, lease, assign, pledge or transfer the Product, in whole or in part or in any form;
Remove, obliterate, alter, or obscure the copyright, trademark, and other proprietary notices in or on the Product.

Regarding Your profiles and data, you may access such profile and data archived in our database for your internal use and not for resale, subject to the terms and conditions hereof including, without limitation, Section 2 (Your responsibilities).

1.5

Regarding Your Identification and password codes issued to access the RightPath Resources web site, you may not:

Transmit or share identification and/or password codes to persons other than the authorized persons for whom such codes were generated; or
Permit the sharing of identification and/or password codes with others who are not authorized to possess to use such identification and/or password codes.

2. YOUR RESPONSIBILITIES

It is solely Your responsibility, as the user, to ensure that the Product is used in a legal, ethical, and responsible manner by your organization. The Product should never be used as the sole determining factor in making a hiring decision. Although profiling is a powerful aid to interviewing, it should be used for facilitating interviews and gaining insight, never as the sole determining factor for screening. Valuable insights can also come from multiple interviews, experience review, skills testing, and feedback from previous managers, peers, and personal references. These and similar accepted practices considered in total, normally yield the best hiring decisions. Thus, profiling should be only one factor, albeit an important one, in the total evaluation process. It is also solely Your responsibility to ensure that your organization does not use the profile in any discriminatory manner or in any way that violates federal or state laws or regulations or your organization’s policies. It is important to avoid being arbitrary in your selection of the people you choose to assess. Other than for a well-defined trial-use basis, RightPath Resources strongly recommends that, if You assess current applicants and employees, You subsequently profile all future applicants and employees. It is also solely your responsibility to ensure that your organization does not use any training materials in violation of Item 1.3b of this license.

3. TERM

This License is effective until terminated, whereupon you agree to cease use of and destroy the Product in any form. You may terminate this License at any time. The License shall also terminate (a) if you attempt to assign or transfer any copy of the Product to another party without written consent of RightPath Resources; (b) if you fail to pay the appropriate fee/s for the Product license or for RightPath Resources’ annual license renewal; or (c) if you otherwise fail to comply with any term or condition hereof.

4. DISCLAIMER

RightPath Resources does not warrant that the Product or its operation will be uninterrupted or error free. Except for the limited warranty above, the Product is provided “AS IS” without any warranty, representation, or condition of any kind, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, noninfringement, and fitness for a particular purpose, or those arising by law, usage of trade, or course of dealing, all of which are hereby expressly disclaimed. Any implied warranty that cannot be disclaimed by applicable law is limited in duration to thirty (30) days from date of Product shipment to you. Some federal and state statutes do not allow limiting the duration and/or exclusion of implied warranties, so the above exclusion and limitation may not apply to you.

5. LIMITATION OF LIABILITY

Neither RightPath Resources nor any of its affiliates, officers, directors, employees, shareholders, or other related parties shall be liable to you or any third party for any consequential, incidental, indirect, punitive, exemplary, or special damages, including but not limited to lost profits, lost savings or other incidental, special, or consequential damages arising out of the use of or inability to use the Product or any part thereof, or for any claim by any other party, even if RightPath Resources has been apprised of the likelihood of such damages occurring, regardless of the form of action, whether in contract, negligence, strict liability, tort, products liability or otherwise. RightPath Resources’ liability is in the aggregate and limited to direct damages not to exceed the actual amount of license fee you paid for the Product. You agree that this limitation of liability shall survive and continue in full force and effect despite any termination or expiration of this License. Some states do not allow the limitation or exclusion of liability for incidental or consequential damages, so this limitation or exclusion may not apply to you.

6. U.S. GOVERNMENT RESTRICTED RIGHTS

The Product is provided with Restricted Rights. The Product is a “commercial item,” as that term is defined in 48 C.F.R. 2.101 (Oct. 1995), consisting of “commercial computer software” and “commercial computer software documentation,” as such terms are used in 48 C.F.R. 12.212 (Sept. 1995). Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4 (June 1995), all U.S. Government End Users acquire the Product with only those rights set forth herein.

7. GOVERNING LAW

This License shall be governed and interpreted in accordance with the State of Georgia without giving effect to any principles of conflicts of laws, and You and RightPath Resources agree to submit to the exclusive personal jurisdiction of the courts of Fulton County in the State of Georgia and the United States District Court, Northern District of Georgia sitting in Atlanta, Georgia for all disputes arising under this agreement. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded.

8. GENERAL

This License along with any other written agreements signed by a RP officer is the entire agreement between you and RightPath Resources, and supersedes any prior agreement, oral or written, and any other communications relating to the subject matter hereof. If any provision is declared invalid or unenforceable, the other provisions shall remain in full force and effect, and this License shall be deemed amended, to the extent legally permitted, to replace the rights and obligations contained in the invalid or unenforceable provision. The invalidity or unenforceability of any provision shall not constitute a failure of consideration hereunder. RightPath Resources’ failure to enforce any provision hereof in a timely manner shall not be considered a waiver of rights hereunder. RIGHTPATH RESOURCES®, RIGHTPATHING®, RIGHTPATH™ 4 PROFILE, AND RIGHTPATH™ 6 PROFILE are trademarks of RightPath Resources.

SITE TERMS OF USE

THIS IS A LEGAL AGREEMENT. BY ACCESSING THIS WEB SITE OR USING ANY SERVICE PROVIDED HEREIN, YOU ACCEPT AND AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. PLEASE READ THIS ENTIRE AGREEMENT CAREFULLY BEFORE ACCEPTING ITS TERMS.

1. Parties

The parties to this Agreement are you, a visitor to this web site (“You”), and the owner and operator of this web site: RightPath Resources, a corporation organized under the laws of Georgia, USA (“RightPath Resources”). All references to “us”, “this web site” or “this site” shall be construed to mean RightPath Resources. If the user is not an individual, then “You” means Your company, its officers, members, agents, successors, and assigns.

2. Assent To Terms of Use and Amendment

RightPath Resources grants a non-exclusive, non-transferable, and revocable license to You and provides the services available at this site to You subject to the following terms and conditions. 3. Entire Agreement

This Terms of Use agreement will be expressly incorporated by reference in each and every agreement between You and RightPath Resources. It supersedes any and all prior and existing agreements, whether oral or in writing, between You and RightPath Resources with respect to the subjects addressed in this Terms of Use agreement and constitutes the entire Agreement between the parties with respect to those subjects. You acknowledge that neither RightPath Resources nor anyone on RightPath Resources’ behalf has made any representations, inducements, promises or agreements, orally or otherwise, to You relating to the subjects addressed by this Terms of Use agreement that are not embodied herein.

4. Prohibited Conduct

You agree (i) not to use this site to upload or distribute in any way files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer; (ii) not to interfere or disrupt this site or any networks connected to this site; (iii) not to use any device, software or routine or attempt to interfere with the proper functioning of this site or any transactions being offered at this site; (iv) not to take any action that imposes an unreasonable or disproportionately large load on RightPath Resources’ infrastructure; (v) not to use this site to collect or harvest personal information, including, without limitation, financial information, about other participants at this site; and (vi) not to impersonate any person or entity or falsely state or otherwise misrepresent Your affiliation with a person or entity. You agree not to use the services, products, or downloads available at this site for illegal purposes, and to comply with all regulations, policies and procedures of networks connected to this site.

5. Compliance with Laws

You shall comply with all applicable laws and regulations of the United States and foreign authorities (including, but not limited to United States trade restriction laws, export laws or license requirements and laws regarding the sale or transport of hazardous materials, and laws regarding the transmission of technical data, including without limitation encryption, exported from the United States through the services available at this site) relating to any service, product, or download associated with this site.

6. Software License

You may acquire RightPath Resources software on media from RightPath Resources, a third-party distributor, reseller, or agent, or by download from this site. You agree that your use of such RightPath Resources software shall be in accordance with the applicable license agreement.

7. Registration Data and Privacy

In order to download the RightPath Resources Software and/or participate in certain services offered at this site, You must provide certain current, complete, and accurate information about You as prompted to do so by the registration form (“Registration Data”) and maintain and update such registration information as required to keep such information current, complete, and accurate. You warrant that such data is accurate and current, and that You are authorized to provide such data. You authorize us to verify such data at any time. If any registration data that You provide is untrue, inaccurate, not current, or incomplete, RightPath Resources retains the right, in its sole discretion, to suspend or terminate rights to use the services. Registration Data and certain other information about You is subject to our Privacy Policy that is posted at www.rightpath.com/terms. Solely to enable RightPath Resources to use information You supply us internally, so that we are not violating any rights You might have in that information, You grant to RightPath Resources a nonexclusive license to (i) convert such information into digital format such that it can be read, utilized and displayed by RightPath Resources’ computers or any other technology currently in existence or hereafter developed capable of utilizing digital information, and (ii) combine the information with other content provided by RightPath Resources, in each case by any method or means or in any medium whether now known or hereafter devised. SOFTWARE DOWNLOADS AND THE RIGHTPATH RESOURCES’ SERVICE ARE NOT AVAILABLE TO CHILDREN UNDER THE AGE OF 13. IF A USER UNDER THE AGE OF THIRTEEN ATTEMPTS TO REGISTER WITH RIGHTPATH RESOURCES, RIGHTPATH RESOURCES SHALL NOTIFY THE USER THAT HE OR SHE IS NOT ELIGIBLE TO BECOME A MEMBER OF RIGHTPATH RESOURCES’ SERVICE, AND RIGHTPATH RESOURCES SHALL NOT COLLECT OR USE ANY PERSONAL INFORMATION FROM SUCH CHILD.

You acknowledge and agree that this site contains proprietary information that is protected by applicable intellectual property and other laws. RIGHTPATH RESOURCES AND ALL OF RIGHTPATH RESOURCES’ AFFILIATES AND CONTENT PROVIDERS AND THEIR RESPECTIVE SHAREHOLDERS AND AFFILIATES SHALL NOT BE LIABLE FOR ANY LOSS OF BUSINESS, LOSS OF USE OR OF DATA, INTERRUPTION OF BUSINESS, LOST PROFITS OR GOODWILL, OR OTHER INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES OF ANY KIND ARISING OUT OF THIS AGREEMENT, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS AND WHETHER OR NOT THEY HAD ANY KNOWLEDGE, ACTUAL OR CONSTRUCTIVE, THAT SUCH DAMAGES MIGHT BE INCURRED, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. THIS EXCLUSION INCLUDES ANY LIABILITY THAT MAY ARISE OUT OF THIRD-PARTY CLAIMS AGAINST YOU. YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE GOODS OR SERVICES PROVIDED ON THIS SITE OR THIS AGREEMENT MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED. YOU FURTHER AGREE IF YOU BECOME ENTITLED TO ANY RECOVERY, THAT YOUR RECOVERY SHALL BE LIMITED TO THE AMOUNT OF FEES OR PAYMENTS MADE TO RIGHTPATH RESOURCES, IF ANY, FOR THE SERVICE, SOFTWARE OR CONTENT AT ISSUE.

14. Indemnity

You shall indemnify, defend, and hold harmless RightPath Resources and its content providers and their respective shareholders, affiliates, employees, agents, successors, officers, and assigns, from any suits, losses, claims, demands, liabilities, costs and expenses (including attorney and accounting fees) that they may sustain or incur arising from (a) Your use of the software available at or downloaded from this site, (b) Your failure to comply with any applicable laws and regulations (including without limitation those regarding the export of products or technology abroad) or to obtain any licenses or approvals from the appropriate government agencies necessary to purchase or sell the subject goods and services, (c) Your use of the content available on this site in any way contrary to this agreement, (d) Your breach of any of Your representations, warranties or obligations set forth in this agreement, (e) the sale, purchase, transportation, delivery, use or disposal of any RightPath Resources service, product, or download associated with this site or available through other sites, or any loss suffered by or harm to any person or property in any way relating to of caused in whole or in part by Your use of this site or any service, product, or download associated with this site (including, without limitation, any personal injuries or death of any third person caused in whole or in part by such products or services, the use, transportation, delivery, storage, handling or release thereof), and (f) any taxes attributable to the relating to any service, product, or download associated with this site.

15. Beneficiaries of this Agreement; No Other Agreements

The rights and limitations in this agreement are for the benefit of RightPath Resources and each of RightPath Resources’ content providers, each of which shall have the right to enforce its rights hereunder directly and on its own behalf.

16. Termination

You agree that RightPath Resources may, at its sole discretion, deny You access to the site and disable any user name and password associated with You for any reason, including, without limitation, if RightPath Resources believes that You have violated or acted inconsistently with the letter or spirit of this agreement. RightPath Resources reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the services offered under this site (or any part thereof) with or without notice. You agree that RightPath Resources shall not be liable to You or to any third party for any modification, suspension or discontinuance of the services offered under this site.

17. General

This site is created and controlled by RightPath Resources in the State of Georgia and the laws of Georgia govern this agreement without giving effect to any principles of conflicts of laws, and You and RightPath Resources agree to submit to the exclusive personal jurisdiction of the courts of Fulton County in the State of Georgia and the United States District Court, Northern District of Georgia sitting in Atlanta, Georgia for all disputes arising under this agreement. The application of the United Nations Convention of Contracts for the International Sale of Goods is expressly excluded. If any provision of this agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this agreement shall remain in full force and effect. You and RightPath Resources are independent contractors, and no agency, partnership, joint venture or other relationship between You and RightPath Resources is intended or created by this agreement. Any waiver or amendment of any right or provision of this agreement will be effective only if signed by RightPath Resources and the failure of RightPath Resources to exercise or enforce any term or condition shall not constitute a waiver of such right or provision.
